Terms and Conditions of Service

1. Introduction and Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Firmus Technology Ltd ("we," "us," "our," or "Firmus"), governing your access to and use of the Open Word live translation service ("Service").

By accessing, registering for, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

If you are using the Service on behalf of an organisation (such as a church, conference, or other entity), you represent and warrant that you have the authority to bind that organisation to these Terms, and "you" shall refer to both you individually and such organisation.

2. Description of Service

Open Word is a real-time speech-to-text transcription and translation platform designed primarily for use in churches, conferences, and similar gatherings. The Service converts live audio speech to text and provides automated translations into multiple languages.

2.1 Third-Party Dependencies

The Service relies on third-party providers including, but not limited to, speech recognition services (such as Deepgram) and translation services (such as Google Translate). The availability, accuracy, and performance of the Service are dependent upon these third-party services, which are subject to their own terms, conditions, and limitations.

2.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We may also update, change, or replace any third-party providers used in connection with the Service.

3. Eligibility and Account Registration

To use the Service, you must be at least 18 years of age and capable of forming a binding contract. By registering for an account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must notify us immediately of any unauthorised use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to protect your account information.

4. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

  1. Use the Service for any illegal, harmful, or fraudulent purpose
  2. Transmit any content that is defamatory, obscene, hateful, or violates the rights of others
  3. Attempt to interfere with, compromise, or disrupt the Service or its underlying infrastructure
  4. Reverse engineer, decompile, or attempt to extract the source code of the Service
  5. Use the Service in a manner that could damage, disable, overburden, or impair our servers
  6. Resell, sublicense, or redistribute access to the Service without our written consent
  7. Use automated scripts or bots to access the Service, except as expressly permitted

5. User Content and Responsibility

5.1 Your Content

"User Content" refers to any audio, speech, text, or other content you transmit through the Service. You retain ownership of your User Content but grant us a limited, worldwide, non-exclusive, royalty-free licence to process your User Content solely for the purpose of providing the Service.

5.2 Content Responsibility

You are solely responsible for all User Content you transmit through the Service. You represent and warrant that you have all necessary rights to transmit such content and that your content does not infringe or violate the rights of any third party, including intellectual property rights, privacy rights, or publicity rights.

5.3 No Obligation to Monitor

We have no obligation to monitor, review, or edit User Content. However, we reserve the right to remove or disable access to any content that we determine, in our sole discretion, violates these Terms or applicable law.

6. Translation and Transcription Disclaimer

Important: The Service uses automated speech recognition and machine translation technology. You acknowledge and agree that:

  1. Transcriptions and translations may contain errors, inaccuracies, omissions, or mistranslations
  2. The accuracy of transcription depends on audio quality, speaker clarity, accents, background noise, and technical factors beyond our control
  3. Machine translation cannot guarantee perfect accuracy, particularly for idiomatic expressions, theological terminology, cultural nuances, or context-dependent meaning
  4. The Service is not a substitute for professional human translation or interpretation services where accuracy is critical
  5. We do not guarantee the theological, doctrinal, or contextual accuracy of any translated content

You use the transcription and translation output at your own risk. We expressly disclaim any liability for decisions or actions taken based on translated or transcribed content.

7. Service Availability and Performance

7.1 No Guarantee of Availability

While we strive to provide reliable service, we do not guarantee that the Service will be available at all times or that it will be uninterrupted, timely, secure, or error-free. The Service may be subject to limitations, delays, and other problems inherent in the use of the internet and electronic communications.

7.2 Factors Beyond Our Control

Service performance may be affected by factors including, but not limited to: internet connectivity, network congestion, server outages, third-party service provider issues, power failures, hardware malfunctions, and force majeure events.

7.3 Scheduled Maintenance

We may perform scheduled or emergency maintenance that may temporarily affect the availability of the Service. We will endeavour to provide notice of scheduled maintenance when practicable.

8. Fees, Payment, and Subscriptions

8.1 Fees

Certain features of the Service may require payment of fees. All fees are stated in the applicable currency and are exclusive of applicable taxes unless otherwise stated. We reserve the right to change our fees at any time with reasonable notice.

8.2 Payment Terms

Payment is due in advance for subscription services. You authorise us to charge your designated payment method for all applicable fees. Failure to pay may result in suspension or termination of your access to the Service.

8.3 Refunds

Unless otherwise required by applicable law or expressly stated in a separate agreement, all fees are non-refundable. This includes fees for partially used subscription periods.

9. Intellectual Property Rights

9.1 Our Intellectual Property

The Service, including all software, code, design, text, graphics, logos, and other materials, is owned by or licensed to Firmus Technology Ltd and is protected by intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service except for the limited right to use the Service in accordance with these Terms.

9.2 Feedback

If you provide any feedback, suggestions, or ideas regarding the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use such feedback for any purpose without any obligation to you.

10. Privacy and Data Protection

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to our collection and use of your information as described in the Privacy Policy.

For organisations using the Service to process personal data of event attendees, a separate Data Processing Agreement is available and may be required under applicable data protection laws.

11. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to:

  1. Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  2. Warranties that the Service will meet your requirements or expectations
  3. Warranties that the Service will be uninterrupted, secure, or error-free
  4. Warranties regarding the results that may be obtained from use of the Service

12. Limitation of Liability

To the maximum extent permitted by applicable law:

12.1 Exclusion of Certain Damages

In no event shall Firmus Technology Ltd, its directors, officers, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, even if we have been advised of the possibility of such damages.

12.2 Cap on Liability

Our total aggregate liability to you for all claims arising out of or relating to the Service or these Terms shall not exceed the greater of: (a) the total amount you paid to us for the Service in the twelve (12) months preceding the claim, or (b) one hundred pounds sterling (£100).

12.3 Basis of the Bargain

The limitations of liability set forth in this section reflect the allocation of risk between the parties and are an essential element of the basis of the bargain between us. The Service would not be provided without these limitations.

12.4 Specific Exclusions

Without limiting the foregoing, we shall not be liable for any claims, damages, or losses arising from: (a) errors or inaccuracies in transcription or translation; (b) misinterpretation or misunderstanding of translated content; (c) reliance on the Service for critical, legal, medical, or safety-related communications; (d) service interruptions or delays; (e) loss of data or content; or (f) any actions taken or decisions made based on the output of the Service.

13. Indemnification

You agree to indemnify, defend, and hold harmless Firmus Technology Ltd, its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  1. Your use of the Service
  2. Your User Content
  3. Your violation of these Terms
  4. Your violation of any applicable law or regulation
  5. Your infringement or alleged infringement of any third-party rights
  6. Any claim by a third party arising from or relating to content you transmitted through the Service

14. Termination

14.1 Termination by You

You may terminate your account and stop using the Service at any time. Termination does not entitle you to a refund of any fees paid.

14.2 Termination by Us

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to: violation of these Terms, non-payment of fees, fraudulent or illegal activity, or any conduct we determine is harmful to other users or our business.

14.3 Effect of Termination

Upon termination, your right to access and use the Service will cease immediately. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to: intellectual property rights, disclaimers, limitation of liability, indemnification, and dispute resolution.

15. Dispute Resolution

15.1 Informal Resolution

Before initiating any formal dispute resolution proceedings, you agree to first contact us and attempt to resolve the dispute informally. We will attempt to resolve the dispute through good-faith negotiation within thirty (30) days of receiving your notice.

15.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Northern Ireland, without regard to its conflict of law principles.

15.3 Jurisdiction

Any dispute arising out of or relating to these Terms or the Service that cannot be resolved through informal negotiation shall be resolved exclusively in the courts of Northern Ireland, and you consent to the personal jurisdiction of such courts.

15.4 Waiver of Class Actions

To the maximum extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Effective Date" at the top of this document. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms.

We encourage you to periodically review these Terms to stay informed of any changes. If you do not agree to the modified Terms, you must stop using the Service.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Firmus Technology Ltd regarding the Service.

17.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17.3 Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by an authorised representative of Firmus Technology Ltd.

17.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

17.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, pandemic, power outages, internet service provider failures, or government actions.

17.6 Notices

We may provide notices to you by email to the address associated with your account, by posting on our website, or through the Service. You are responsible for ensuring your contact information is current.
